TokenLab Terms of Service

Read these Terms before using the Services.

These Terms of Service ("Terms") govern the TokenLab website at https://tokenlab.sh ("Website") and the API services provided by TokenLab ("Services"). By using the Website or Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Description of Services

TokenLab provides access to supported AI models through direct and OpenAI-compatible endpoints. The Services may include:

• Chat completions API (text generation, streaming)
• Image generation and editing API
• Video generation API
• Audio synthesis and transcription API
• Embeddings API

2. Account Registration and Security

2.1 To use our Services, you must create an account by providing accurate and complete information.

2.2 You are responsible for:

• Maintaining the confidentiality of your API keys and account credentials
• All activities that occur under your account or API keys
• Immediately notifying us of any unauthorized use of your account
• Ensuring your use complies with the terms of the underlying AI model providers

2.3 You must be at least 18 years old or have legal authority to enter into these Terms.

2.4 Our Services are not available to users located in, resident in, or ordinarily operating from Mainland China, Russia, Iran, or North Korea. You may not access or use the Services from these regions, and we may block or suspend access where required for compliance.

3. Billing and Payments

3.1 TokenLab uses a prepaid balance. You must add funds before using paid API services.

3.2 Pricing varies by model and is displayed on our pricing page at https://tokenlab.sh/models. Prices are subject to change with reasonable notice.

3.3 Charges are deducted from your balance based on measured usage and the rates shown for the selected service.

3.4 Unused balance does not expire. Funds added to your balance are delivered immediately after successful payment. Once delivered or used, purchases are final and non-refundable, except where required by applicable law.

3.5 We accept payments via credit/debit cards (through Stripe), merchant-of-record providers such as Creem, and may support additional payment methods in certain regions.

3.6 If a payment is refunded, reversed, disputed, charged back, or finally lost in a payment dispute, we may deduct or reverse the corresponding balance, suspend or disable the related account, Workspace, API keys, or access to the Services, and require repayment of any negative balance or unrecovered usage.

3.7 You agree to contact us before initiating a payment dispute. Improper or fraudulent payment disputes may result in account suspension or termination.

3.8 To respond to refunds, chargebacks, or payment disputes, we may provide payment records, account ledger entries, API usage logs, timestamps, request identifiers, IP addresses, and other delivery evidence to payment processors, merchant-of-record providers, card networks, banks, or dispute-resolution parties.

4. Acceptable Use Policy

4.1 You agree to use our Services only for lawful purposes. You may not:

• Use the API for any illegal activities or to generate illegal content
• Attempt to circumvent rate limits, access controls, or security measures
• Resell, redistribute, or sublicense API access without our written authorization
• Generate content that violates our content policy or the policies of upstream providers
• Engage in activities that could harm, disable, or impair our Services
• Use automated means to scrape or collect data from our Website
• Impersonate any person or entity or misrepresent your affiliation

4.2 We reserve the right to suspend or terminate accounts that violate these Terms.

5. Intellectual Property

5.1 All content, features, and functionality of our Website and Services are owned by TokenLab and are protected by intellectual property laws.

5.2 You retain ownership of the content you submit through our API. We do not claim ownership of your prompts or generated outputs.

5.3 TokenLab grants you a limited, non-exclusive, non-transferable license to use our Services in accordance with these Terms.

6. Privacy and Data

6.1 We collect and process personal data as described in our Privacy Policy at https://tokenlab.sh/privacy-policy.

6.2 API requests, including prompts and parameters, are forwarded to AI service providers to fulfill your requests. Review their privacy policies for details on how they handle data.

6.3 We retain API usage logs for billing, debugging, and service improvement purposes.

7. Disclaimer of Warranties

7.1 Our Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied.

7.2 We do not guarantee that our Services will be uninterrupted, error-free, or free of viruses or other harmful components.

7.3 AI-generated content may contain errors, biases, or inaccuracies. You are responsible for reviewing and verifying all outputs.

8. Limitation of Liability

8.1 To the maximum extent permitted by law, TokenLab shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services.

8.2 Our total liability shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless TokenLab and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our Services or violation of these Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms shall be resolved through appropriate legal channels.

11. Changes to Terms

We may update these Terms from time to time. Material changes will be notified via email or through the Website. Continued use of our Services after changes constitutes acceptance of the updated Terms.
